AMERICAN WATER REPORTS STRONG 2023 RESULTS AFFIRMS LONG-TERM GROWTH TARGETS

INCREASES 2024 EPS GUIDANCE RESULTING FROM NOTE RESTRUCTURING

  • 2023 earnings of $4.90 per share, compared to $4.51 per share in 2022
    • 2023 weather-normalized earnings of $4.77 per share, compared to $4.45 per share in 2022

CAMDEN, N.J., February 14, 2024 - American Water Works Company, Inc. (NYSE: AWK) today reported earnings of $0.88 per share for the fourth quarter 2023 compared to $0.81 per share in 2022, and full year earnings in 2023 of $4.90 per share compared to $4.51 per share in 2022.

“American Water once again successfully executed on its strategies and achieved on-plan earnings growth in 2023. We invested a record $2.7 billion in regulated operations, led by infrastructure renewal, and the completion of 23 acquisitions across eight states,” said M. Susan Hardwick, president and CEO of American Water.

“As the only pure play, large-cap water utility in the U.S., our strong fundamentals and healthy balance sheet give us great confidence in the long-term plan that we announced last November,” added Hardwick.

Long-Term Financial Targets Affirmed and 2024 EPS Guidance Increased
The company affirms its long-term financial targets announced in Nov. 2023, including its long-term EPS and dividend growth rate targets of 7-9%. The company now expects its 2024 earnings per share guidance range to be $5.20 to $5.30, up from the EPS guidance range of $5.10 to $5.20 announced in Nov. 2023, as the company will receive increased interest income resulting from the amendment to the terms of the secured seller note receivable related to the sale of the former Homeowner Services Group (“HOS”). The increased interest income is expected to approximate $0.10 per share per year through the note’s maturity date of December 9, 2026, which is unchanged from the original note term. The company’s earnings forecasts are subject to numerous risks and uncertainties, including, without limitation, those described under “Cautionary Statement Concerning Forward-Looking Statements” below and under “Risk Factors” in its annual, quarterly, and current reports filed with the Securities and Exchange Commission (“SEC”). All statements related to earnings and earnings per share refer to diluted earnings and earnings per share.

Consolidated Results
For the three and twelve months ended December 31, 2023, earnings per share were $0.88 and $4.90, respectively, compared to $0.81 and $4.51 per share in the same periods in 2022. These increases were primarily driven by the implementation of new rates in the Regulated Businesses for the return on and recovery of capital and acquisition investments, offset somewhat by increased operating costs, primarily production costs from inflationary pressures, and higher pension costs. Results for the three and twelve months ended December 31, 2023, reflect the net favorable impact of warmer, drier weather compared to normal, estimated at $0.02 and $0.13 per share, respectively, while results for the twelve months ended December 31, 2022, reflect the net favorable impact of weather compared to normal, estimated at $0.06 per share. Results for the three and twelve months ended December 31, 2023, also reflect the impact of share dilution from the equity financing of $0.06 and $0.29 per share, respectively, roughly equivalent to avoided interest expense on the year.

In 2023, the company made capital investments of $2.7 billion in infrastructure improvements and other capital investments in the Regulated Businesses and regulated acquisitions.

Regulated Businesses
In the fourth quarter of 2023, the Regulated Businesses’ net income was $188 million, compared to $173 million for the same period in 2022. For the full year 2023, the Regulated Businesses’ net income was $971 million, compared to $854 million in 2022.

Operating revenues increased $101 million and $415 million for the three and twelve months ended December 31, 2023, respectively, as compared to the same periods in 2022. The increases in operating revenues were primarily a result of authorized revenue increases resulting from completed general rate cases and infrastructure proceedings to recover incremental capital and acquisition investments.

Since January 1, 2023, the company has been authorized additional annualized revenues of approximately $273 million from general rate cases all of which was effective in 2023. Further, approximately $117 million of additional annualized revenues from infrastructure surcharges have been authorized, with $86 million effective in 2023 and $31 million effective in 2024. The company has general rate cases in progress in eight jurisdictions and filed for one infrastructure surcharge, reflecting a total annualized revenue request of approximately $670 million.

Operation and maintenance (“O&M”) expenses were higher by $44 million and $96 million for the three and twelve months ended December 31, 2023, respectively, as compared to the same periods in 2022, primarily due to increases in production costs, including from inflationary pressures, as well as an increase in maintenance activities in the fourth quarter of 2023. Pension non-service costs, included in Other Income/Expense, were also higher in the quarter and year-to-date periods. Also, depreciation expense was higher by $18 million and $60 million in these same periods due to the growing capital investment in infrastructure and from acquisitions.

Amended Legacy Note Receivable
As the company announced in a Form 8-K filing on February 5, 2024, the company’s legacy note receivable from its sale of the former HOS has been amended. The former HOS business successfully completed the extension of agreements with the New York City Water Board, which fully satisfied the buyer’s requirement to pay the company $75 million of contingent consideration. The parties have amended the secured seller note to, among other things, increase the principal amount from $720 million to $795 million, which satisfies payment of the contingent consideration. In addition, the interest rate payable in cash on the secured seller note has increased from 7.00% per year to 10.00% per year until maturity, in recognition of higher market interest rates and removal of American Water’s right to require early repayment of the note. The maturity date of the amended note of December 9, 2026, remains unchanged. The increased interest income is expected to approximate $0.10 per share per year through the note’s maturity.

Dividends
On December 6, 2023, the company’s Board of Directors declared a quarterly cash dividend payment of $0.7075 per share of common stock payable on March 1, 2024, to shareholders of record as of February 8, 2024.
